If you are accepting this Agreement on behalf of your employer or another entity, you represent and warrant that: (a) you have full legal authority to bind your employer or such entity to this Agreement, and (b) you agree to this Agreement on behalf of your employer or such entity. If you are accepting this Agreement using an email address from your employer or another entity, then: (i) you will be deemed to represent that party, (ii) your acceptance of this Agreement will bind your employer or that entity to these terms, and (iii) the word "you" or "your" in this Agreement will refer to your employer or that entity.
Subject to the terms of this Agreement, we grant you a non-exclusive, non-transferable right for your Users to access and use Huntbase for your internal business purposes, which includes the provision of services to your clients.
You are responsible for your Users' use of Huntbase. You must ensure that each User complies with this Agreement, including the Acceptable Use Policy.
You and your Users must not (and must not permit anyone else to):
You must ensure that your Users keep their login credentials confidential and do not share them with anyone. You must promptly notify us if you become aware of any unauthorised access to any user login credentials, or of any unauthorised access, or potential unauthorised access, to Huntbase.
We do not have an obligation to monitor Customer Data. However, if we become aware that you or your Users have breached this Agreement, we may either (a) limit your access to, or remove, the relevant Customer Data, or (b) suspend your or any of your User's access to Huntbase. We may also take any such measures where required by applicable laws, or at the request of a governmental authority. Where practicable, we will give you the opportunity to remedy the issue before taking any such measures.
Where you use Huntbase to deliver services to your clients, you agree that: (a) any agreement you enter into with your client will solely be between you and the client, and Huntbase will not be bound by its terms; (b) you are solely responsible for the fulfilment of your obligations and the delivery of services to your clients; and (c) we accept no liability to your third parties, including your clients, in connection with Huntbase. You agree to indemnify and hold us harmless from any liability we incur in connection with any third-party claim relating to your use of Huntbase.
Huntbase can run queries, collections, scripts and response actions (such as isolating a host) on systems you connect to it. These run only when you or your Users configure, approve or schedule them, and you decide whether and when to do so. You are responsible for the systems you connect, for the approvals your Users give, and for the effects of any action carried out on your instructions, including any interruption to your systems or services.
Except as expressly specified in this Agreement, neither party grants the other any rights or licenses to its intellectual property under this Agreement. We and our licensors retain all intellectual property and other rights in Huntbase and any materials provided by us, including any aspects, features, or functionality created in response to Feedback.
As between the parties, you own all intellectual property and other rights in Customer Data provided to us or used with Huntbase. You are responsible for ensuring that you are authorised to provide Customer Data to Huntbase and to use it in connection with Huntbase. You grant us a non-exclusive, royalty-free licence to use any data you make available to us for the purpose of providing Huntbase and for developing and improving our products and services.
All Feedback provided by you or your Users is and shall remain the property of Huntbase. By submitting Feedback, you assign to us all right, title, and interest in and to Feedback and will reasonably cooperate with us as needed to establish, prove, or defend our ownership of Feedback.
Where you choose to use Huntbase with third-party platforms, apps, add-ons, services or products ("Third-Party Products"), use of such Third-Party Products is subject to the relevant provider's terms of use, not this Agreement. Data sent from the Third-Party Product to your Huntbase account is subject to this Agreement. We do not control and have no liability for Third-Party Products. We do not warrant that Huntbase will, or will continue to, connect or interoperate with any Third-Party Product.
Your use of any open source software components of Huntbase is governed exclusively by the terms applicable to the open source software and not the terms of this Agreement.
Where you purchase a Huntbase subscription (a "Subscription"), you must provide us with a valid credit card or other form of electronic payment. We will automatically charge you based on your chosen plan. We will share your account information with financial institutions and payment processing companies, including your submitted payment information, to process your purchase. If the payment method you use is no longer valid and you do not edit your payment information or cancel or downgrade your account to a free plan, you authorise us to keep billing you for Huntbase and you remain responsible for uncollected amounts.
Subscription terms will automatically renew at our then-current rates for: (a) if your prior subscription term was for a period less than twelve (12) months, another subscription term of a period equal to your prior subscription term, or (b) if your prior subscription term was for twelve (12) or more months, twelve (12) months. We will automatically bill you on renewal unless you cancel or downgrade the Subscription under Section 7.2 below.
Subscriptions to Huntbase are for fixed terms, and the associated fees are non-refundable. Prices are subject to change on 30 days' notice, provided that no price change will apply during your then-current subscription term.
If you owe us any unpaid fees, we may suspend your access to Huntbase without prior notice until you pay us in full. Your obligation to pay fees continues through to the end of the period in which you cancel or downgrade your plan.
If you exceed the scope of use in your Subscription, you will be billed for such increased scope at our then-current rates, which may be pro-rated for the remainder of the then-current subscription term.
Fees exclude any sales, VAT, value-added, withholding or similar taxes or levies that apply to your purchase of Huntbase. Other than taxes on our net income, you are responsible for any such taxes and must pay them in accordance with any applicable invoice, without any reduction or deduction required by law.
Where you purchase a Subscription through a Marketplace Provider, such as Google Cloud Marketplace:
Huntbase is provided "as is" and "as available," without warranty of any kind. We expressly disclaim all warranties, whether express, implied or statutory, regarding Huntbase, including without limitation any warranty of merchantability, fitness for a particular purpose, title, security, accuracy and non-infringement. We do not warrant that Huntbase will meet your requirements; that Huntbase will be uninterrupted, timely, secure, or error-free; that information provided through Huntbase is accurate, reliable or correct; or that Huntbase will be available at any particular time or location. You assume full responsibility and risk of loss resulting from your use of Huntbase and any decisions you make based on the content and information made available within it.
This Agreement commences on the date you accept it or the date you or your Users first access Huntbase, whichever is earlier, and subject to any renewals in accordance with Section 5.2, expires at the end of your Subscription term or, where you have not purchased a Subscription, the date on which you delete your account.
Where you purchase a Subscription, you may cancel or downgrade by contacting us in line with the Notices section below. If you cancel or downgrade, you must continue to pay for the rest of your subscription term and you are not entitled to a refund.
Either party may terminate this Agreement if the other party: (a) fails to cure a material breach of this Agreement (including a failure to pay fees) within 30 days after notice; (b) ceases operation without a successor; or (c) seeks protection under a bankruptcy, receivership, trust deed, creditors' arrangement, composition or comparable proceeding.
We may refuse to provide Huntbase to anyone for any reason at any time. We may also immediately suspend or terminate your access without prior notice. If we terminate this Agreement because you violated the Acceptable Use Policy or any other part of this Agreement, you will not receive a refund. If we terminate your Subscription for no reason, we will refund you for the remainder of your Subscription term.
On expiration or termination of this Agreement, your and your Users' rights to use Huntbase will cease immediately.
The following clauses survive termination of this Agreement: 2.3 (Restrictions), 2.7 (Actions on Your Systems), 3.1 (Ownership), 3.3 (Feedback), 5 (Billing and Payment), 6 (Warranty), 7.5 (Effect of Termination), 8 (Limitations of Liability), 9 (Confidentiality), 10 (General Terms), and 11 (Definitions).
We will not have any liability arising out of or related to this Agreement for any loss of use, lost data, lost profits, interruption of business or any indirect, special, incidental, reliance or consequential damages of any kind, even if informed of their possibility in advance.
Notwithstanding anything else in this Agreement, to the maximum extent permitted by law, our aggregate liability to you for all claims connected with this Agreement or Huntbase is limited to the greater of (a) the fees paid by you for the Subscription (including fees paid through a Marketplace Provider) during the three month period preceding the event giving rise to the claim, or (b) US$100.
Nothing in this Agreement limits either party's liability for: (a) death or personal injury caused by that party's negligence; (b) fraud; or (c) anything else that cannot be limited by law.
You will defend and indemnify us, our affiliates and any Marketplace Provider through which you purchased Huntbase (together with its affiliates) against any third-party claim, and the resulting losses, damages, costs and reasonable legal fees, to the extent it arises from: (a) Customer Data; (b) your or your Users' use of Huntbase in breach of this Agreement, the Acceptable Use Policy or applicable law; (c) any action carried out on your systems on your or your Users' instructions or approval, as described in Section 2.7; or (d) services you provide to your clients using Huntbase. This indemnity does not apply to the extent a claim arises from our breach of this Agreement or from an allegation that Huntbase itself infringes a third party's intellectual property rights. The indemnified party will notify you promptly of the claim, let you control its defence and settlement (provided no settlement admits fault for, or imposes an obligation on, the indemnified party without its consent), and cooperate reasonably at your expense.
The exclusions and limitations in this Section 8 apply in the same way to any claim connected with Huntbase that you bring against a Marketplace Provider or its affiliates, and the cap in Section 8.2 applies to all such claims and all claims against us taken together.
Unless otherwise authorised in this Agreement, Recipient will only use Discloser's Confidential Information to fulfil its obligations or exercise its rights under this Agreement, and will not disclose it to anyone else.
Confidential Information does not include information that: (a) Recipient knew without any obligation of confidentiality before disclosure by Discloser; (b) is or becomes publicly known through no fault of Recipient; (c) Recipient receives under no obligation of confidentiality from someone authorised to make the disclosure; or (d) Recipient independently developed without use of or reference to Discloser's Confidential Information. Feedback does not constitute your Confidential Information.
Recipient may disclose Discloser's Confidential Information to the extent required by applicable laws, provided that — unless prohibited by law — Recipient gives the Disclosing Party reasonable advance notice and reasonably cooperates, at the Discloser's expense, with efforts to obtain confidential treatment.
Recipient may disclose Discloser's Confidential Information to Users, employees, advisors, investors, contractors, and representatives who have a need to know, provided each is bound by confidentiality obligations at least as protective as those in this Section 9, and Recipient remains responsible for their compliance.
We may identify you as a Huntbase customer in our promotional materials. We will promptly stop doing so upon your written request submitted via the contact page at huntbase.io.
Each party must comply with all laws applicable to it in its performance of obligations or exercise of rights under this Agreement.
You agree to comply with all applicable export control laws and sanctions regulations, including those of the United Kingdom, the United States, and any other applicable jurisdiction, and will not use Huntbase in violation of such laws.
The DPA applies to your use of Huntbase and forms part of this Agreement.
We are not liable for any delay or failure to perform any obligation under this Agreement due to events beyond our reasonable control.
We may use contractors to provide Huntbase and related services, provided we remain responsible for the fulfilment of our obligations under this Agreement.
You may not assign or transfer any of your rights or obligations under this Agreement without our prior written consent. We may assign this Agreement in whole or in part without your consent.
The parties are independent contractors, not agents, partners or joint venturers. You will not make any representations, warranties or guarantees on our behalf.
This Agreement is governed by the laws of England. Any dispute arising from it will be subject to the exclusive jurisdiction of the English courts.
Notices to us must be provided according to the details on the contact page at huntbase.io. Notices to you will be provided to the billing or technical contact you have provided to us. We may provide general or operational notices via email, on our website, or through Huntbase.
Waivers must be granted in writing and signed by the waiving party's authorised representative. If any provision of this Agreement is held invalid, illegal or unenforceable, it will be limited to the minimum extent necessary so the rest of this Agreement remains in effect.
We may modify this Agreement from time to time by posting the modified Agreement on our website.
This Agreement is the parties' entire agreement regarding its subject matter and supersedes any prior or contemporaneous agreements regarding its subject matter.
A Marketplace Provider and its affiliates may enforce Sections 5.7, 8.4 and 8.5 under the Contracts (Rights of Third Parties) Act 1999. Apart from that, no one other than you and us has any right to enforce this Agreement, and we may amend it under Section 10.11 without anyone else's consent.
